These terms govern your use of the FRANSiS™ website at www.fransis.ai and, where you are a customer, your use of the FRANSiS platform. By using the site or the service you agree to them. If you do not agree, do not use the service.
If you have signed a separate written agreement with FRANSiS, that agreement controls where it conflicts with these terms.
FRANSiS™ provides an AI-powered two-way SMS communication platform. An AI assistant answers routine inbound messages and routes anything requiring human judgment to your team. The service is sold to organizations, not to consumers.
You must be at least 18 and able to enter a binding contract. If you use the service on behalf of an organization, you confirm you are authorized to bind it. You are responsible for the accuracy of your account information, for the security of your credentials, and for all activity under your account.
This section matters more than any other. You are the sender. You are responsible for what you send and to whom.
You agree that you will:
You are solely responsible for the content of your messages and for the lawfulness of your contact lists. FRANSiS is not the sender and does not review your message content in advance.
You may not: reverse engineer, decompile, or attempt to derive source code; resell or sublicense the service without written permission; use the service to build a competing product; interfere with or overload the infrastructure; attempt unauthorized access; or use the service to send unsolicited bulk messages.
We may suspend access without notice where we reasonably believe use threatens the security, integrity, or lawful operation of the service or the networks we depend on.
Pricing is as stated in your order form or on our pricing page. Plans are billed in advance on the stated cycle. Fees are non-refundable except where required by law or expressly stated in a signed agreement. We will give notice before any change to your rate takes effect.
You retain all rights in the data you put into the platform. You grant us a limited license to process it solely to provide, secure, and support the service. Where the data includes protected health information, our obligations are governed by a Business Associate Agreement. Our handling of personal information is described in our Privacy Policy.
FRANSiS and its licensors own the platform, the software, and all associated intellectual property, including the FRANSiS™ name and marks. Nothing here transfers ownership to you. You may use the service only as these terms permit.
The service depends on third parties including telecommunications carriers, cloud infrastructure, and calendar and scheduling providers. Their availability and behavior are outside our control, and carrier filtering or delivery decisions are not something we can guarantee against.
We work to keep the service available but do not guarantee uninterrupted operation. We may perform maintenance, and we may modify or discontinue features with reasonable notice.
The service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not provide legal advice. Materials on this site about TCPA, HIPAA, FERPA, 10DLC, or any other regulation are general information, not legal advice, and are not a substitute for counsel. Compliance with the laws that apply to your organization is your responsibility.
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our aggregate liability arising out of or relating to the service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.
You will indemnify and hold harmless FRANSiS from claims, damages, and costs arising from your message content, your contact lists, your failure to obtain required consent, or your breach of these terms or of applicable law.
These terms apply while you use the service. Either party may terminate as set out in your order form or, absent one, on thirty days' written notice. On termination your access ends and we will delete or return your data in line with the Privacy Policy and any signed agreement. Sections that by their nature should survive will survive.
We may update these terms. Material changes will be notified to customers before they take effect, and the "last updated" date above will change. Continued use after that date is acceptance.
These terms are governed by the laws of the State of Nevada, without regard to conflict of laws rules. The parties will attempt in good faith to resolve any dispute informally before commencing proceedings, and the courts located in Nevada will have jurisdiction.
